Terms of Service
1. Who you are dealing with
Bidwire is operated by Delvir Limited Liability Co., a Wyoming limited liability company (“Delvir”, “we”, “us”). These Terms are the agreement between you and Delvir for the Bidwire website, the Bidwire iPhone application, and everything we deliver through them (together, the “Service”). By creating an account or using the Service you accept these Terms. If you are accepting on behalf of a company, you confirm you may bind it.
2. No government affiliation
Bidwire is an independent commercial service. It is not affiliated with, endorsed by, sponsored by, certified by, or acting on behalf of SAM.gov, the General Services Administration, the Small Business Administration, the Department of Defense, or any other U.S. federal, state, local, or tribal government agency. Agency names, office names, and notice identifiers appear in the Service only as factual labels on public records. Nothing in the Service is an official government communication, and nothing we tell you changes what a contracting officer decides.
3. You perform every submission
Bidwire never submits, files, bids, applies, registers, or transmits anything to any government system, mailbox, portal, or officer on your behalf. Where the Service prepares a draft response, it prepares it for you to read. You send it yourself, from your own mailbox or through the portal the notice names, after you have reviewed it. Your click is your signature: when you send a response you are representing that you have read it, that the price and terms in it are yours, and that you are the person authorised to make that offer. You are solely responsible for everything you send, for its accuracy, for its completeness, and for every certification and representation it carries, including those required under FAR 52.204-8 and related provisions.
4. No guarantee of award, eligibility, or outcome
The Service tells you what a public notice appears to say and how it appears to line up with the profile you gave us. That is all it does. We do not guarantee that you are eligible for any opportunity, that you will be invited to bid, that a response will be accepted, that you will win an award, or that you will earn any amount of money. A “Go” is an opinion about fit, not a finding of eligibility, and not legal, contracting, accounting, or tax advice. Verify every requirement against the official notice and, where it matters, with a qualified adviser before you commit time or money.
5. The information is public, and it moves
Opportunity information in the Service is drawn from public federal records. Those records are amended, reposted, corrected, cancelled, and withdrawn without notice to us. Dates, values, set-asides and requirements shown in the Service may lag, may be incomplete, and may be wrong. The official notice is always the authority. The absence of a notice in the Service is never an all-clear — it does not mean no matching opportunity exists. Coverage of the public record is not, and is not represented to be, complete.
6. Controlled and export-restricted material is prohibited
Do not put classified information, Controlled Unclassified Information (CUI), Covered Defense Information, ITAR- or EAR-controlled technical data, personally identifiable information belonging to third parties, or any other export-controlled or access-restricted material into the Service. Bidwire is a commercial service on commercial infrastructure. It is not accredited, assessed, or authorised under FedRAMP, DFARS 252.204-7012, NIST SP 800-171, CMMC, or ITAR, and it must not be used as a repository or transmission path for anything that requires such a control. If you upload or transmit prohibited material, you are responsible for the consequences and you will indemnify us for them under section 12.
7. Your account
Sign-in is by one-time link sent to your email address, so your email account is your credential: keep it secure and tell us at once if it is compromised. One person, one account. You may not share an account, resell access, scrape the Service, reverse engineer it, use it to build a competing product, overload it, or use it in any way that breaks the law or another party’s rights or terms — including the terms of the government systems whose public records the Service reports on.
8. Plans, payment, cancellation
Paid plans are sold on this website and billed by our payment processor. Subscriptions renew automatically for the period you chose until you cancel. You can cancel at any time from the billing portal; cancellation stops the next renewal and your access continues until the end of the period you have already paid for. Prices may change on notice, and a change never applies to a period you have already been billed for. Taxes, where they apply, are yours. We do not routinely give partial refunds for an unused part of a term — if something has gone wrong, write to us and we will look at it.
Founding-member guarantee. If you joined as a founding member (one of the first hundred confirmed waitlist addresses, or before 31 October 2026, whichever came first) and we did not put at least five opportunities in front of you that you were eligible to bid during your first thirty days, write to us within that period and we will refund that term in full. One email is enough; no call, no questions. This is a promise about how much we show you, not about winning anything — nothing in it changes section 4.
The Bidwire iPhone application contains no purchase of any kind. Anything you buy, you buy here, from Delvir.
9. The iPhone application
The Bidwire application is licensed, not sold, to you, for personal or internal business use on Apple-branded devices you own or control, under the usage rules of the Apple Media Services Terms. This licence is between you and Delvir only — Apple is not a party to it. Apple has no obligation whatsoever to furnish any maintenance or support for the application. Delvir, not Apple, is responsible for the application, for any product warranty (to the extent one is not effectively disclaimed below), for any claim that the application or your use of it infringes intellectual property rights, and for addressing any claim that it fails to conform to a legal requirement. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.
10. Warranty disclaimer
The Service is provided “as is” and “as available”, with all faults and without warranty of any kind. To the fullest extent the law allows, we disclaim all warranties, express, implied, and statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any information in it is correct or current.
11. Limitation of liability
To the fullest extent the law allows, neither Delvir nor anyone working with us is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost contracts, lost opportunities, missed deadlines, lost or inaccurate data, business interruption, or cost of substitute services — even if we were told such damages were possible.
Our total liability arising out of or relating to the Service, on every theory combined, will not exceed the greater of (a) the total amount you actually paid Delvir for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow some of these exclusions; where that is so, they apply to the maximum extent permitted, and nothing here limits liability that cannot lawfully be limited.
12. Indemnification
You will defend, indemnify, and hold harmless Delvir, its members, officers, and agents from and against any claim, demand, proceeding, loss, liability, penalty, and expense (including reasonable legal fees) arising out of or related to: your use of the Service; anything you submit, send, certify, or represent to any government or third party; any contract you pursue, enter into, or fail to perform; your breach of these Terms; your violation of law or of anyone’s rights; and any prohibited material you place into the Service under section 6.
13. One year to bring a claim
Any claim arising out of or relating to the Service must be filed within one (1) year after it first could have been filed, or it is permanently barred, except where a longer period cannot lawfully be shortened.
14. Governing law and venue — no arbitration
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods. Any dispute must be brought exclusively in the state or federal courts located in Wyoming, and you and Delvir each consent to the personal jurisdiction and venue of those courts. Either party may instead bring an individual claim in a small-claims court with jurisdiction.
There is no arbitration clause in this agreement. Disputes go to court.
15. Class-action and jury waiver
You and Delvir each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding. No court or tribunal may consolidate more than one person’s claims without the written consent of both parties. To the fullest extent the law allows, you and Delvir each waive any right to a jury trial. If this section is held unenforceable as to a particular claim, that claim — and only that claim — is severed and proceeds in court.
16. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or end access if you break these Terms, if we must to comply with the law, or if continuing would expose us or another user to harm. Sections 2 through 6 and 10 through 19 survive termination.
17. Changes
We may change these Terms. When we do, we change the effective date at the top and, for a material change, tell account holders by email or in the Service before it takes effect. Continuing to use the Service after a change takes effect means you accept the new Terms. If you do not accept them, cancel.
18. Severability and entire agreement
If any provision is held unenforceable, it is limited or severed to the minimum extent necessary and the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor in interest. These Terms, together with the Privacy Policy, are the entire agreement between you and Delvir about the Service.
